Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the BuyerFlo platform operated by BuyerFlo Pty Ltd (ABN 41 696 232 621) ("BuyerFlo", "we", "us", "our"). By creating an account or using BuyerFlo, you ("you", "your") agree to be bound by these Terms.

If you are using BuyerFlo on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Service

BuyerFlo is a software-as-a-service platform designed for Australian buyer's agents. The platform provides client management, deal tracking, Agent Appointment Form generation, Xero invoicing integration, and related tools.

We may update, modify, or discontinue features of the platform from time to time. We will provide reasonable notice of material changes where possible.

3. Account Registration

To use BuyerFlo, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age and a resident of Australia to use BuyerFlo. You must notify us immediately if you become aware of any unauthorised use of your account.

4. Free Trial

New accounts include a 30-day free trial with full access to all features. A valid payment method is required at signup. You will not be charged during the trial period.

During the trial, your account is limited to 2 Agent Appointment Form envelopes (e-signature requests) via Annature. Additional envelopes require an active paid subscription.

If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged at the current rate of $99 per agent per month (AUD, inclusive of GST).

6. E-Signature Services

BuyerFlo offers two options for electronic signature of Agent Appointment Forms:

• Annature (built-in): Each paid subscription includes 4 e-signature envelopes per agent per month via Annature. Additional envelopes beyond the included allowance are charged per envelope on top of your monthly subscription. Current per-envelope pricing is displayed in the platform before sending. Overage charges are billed to your payment method at the time of sending.
• DocuSign (BYO): You may connect your own DocuSign account to send envelopes through your existing DocuSign subscription. BuyerFlo does not charge additional fees for envelopes sent via DocuSign. Your use of DocuSign is subject to DocuSign's own terms and pricing.

6. Pricing and Payment

BuyerFlo is priced at $99 per agent per month (AUD, inclusive of GST). Billing is monthly and payments are processed through Stripe.

We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle following the notice period.

All fees are non-refundable except where required by Australian Consumer Law.

7. Your Data

You retain ownership of all data you upload, enter, or generate through BuyerFlo ("Your Data"). You grant us a limited licence to use Your Data solely to provide and improve the BuyerFlo service.

You are responsible for the accuracy and legality of Your Data, including ensuring you have appropriate consent to store personal information about your clients.

We will handle Your Data in accordance with our Privacy Policy.

8. Acceptable Use

You agree not to:

• Use BuyerFlo for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to the platform, other accounts, or our systems
• Reverse-engineer, decompile, or disassemble any part of the platform
• Use the platform to store or transmit malicious code
• Resell, sublicense, or redistribute access to BuyerFlo without our written consent
• Interfere with or disrupt the integrity or performance of the platform

We reserve the right to suspend or terminate accounts that violate these terms.

9. Third-Party Integrations

BuyerFlo integrates with third-party services including Xero, Annature, and DocuSign. Your use of these integrations is subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or conduct of third-party services.

You authorise BuyerFlo to access and use data from connected third-party services as necessary to provide the platform's features.

10. Intellectual Property

BuyerFlo and its original content, features, and functionality are owned by BuyerFlo Pty Ltd and are protected by Australian and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you, other than the limited right to use the platform as described herein.

11. Limitation of Liability

To the maximum extent permitted by law, BuyerFlo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to BuyerFlo in the 12 months preceding the claim.

Nothing in these Terms excludes or limits any rights you have under the Australian Consumer Law that cannot be excluded or limited by contract.

12. Disclaimer

BuyerFlo is provided "as is" and "as available". While we strive for reliability, we do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

BuyerFlo is a workflow tool and does not provide legal, financial, or real estate advice. You are responsible for ensuring your use of the platform complies with all applicable laws and professional obligations, including the Property Occupations Act 2014 (Qld) or equivalent legislation in your state or territory.

13. Cancellation and Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period — you will retain access until then.

Upon cancellation, your data will be retained for 30 days to allow for reactivation. After 30 days, Your Data will be permanently deleted.

We may suspend or terminate your account immediately if you breach these Terms, with notice where reasonably practicable.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the platform at least 14 days before they take effect. Your continued use of BuyerFlo after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland.
